Terms of Service

1. Agreement and eligibility

These Terms govern your use of Vidova’s desktop application, website, APIs, hosted processing, storage, and sharing services (the “Service”), provided by DeepShot, Inc. By creating an account, purchasing a plan, or using the Service, you agree to these Terms and our Privacy Policy. You must be legally able to enter this agreement and provide accurate account information.

2. License and commercial use

While your account is entitled to use Vidova, we grant you a non-exclusive, non-transferable license to use the Service for personal or commercial video creation. You may publish and monetize work you create, subject to rights in your inputs, third-party assets, and provider-specific terms. You may not resell access, evade metering or limits, reverse engineer non-public parts of the Service, interfere with its operation, or use it unlawfully.

3. Your content and AI output

You retain your rights in content you upload and output you create. You grant us the limited rights needed to host, process, transmit, and display that content solely to provide and secure the Service. You are responsible for having the necessary rights and for reviewing AI output before use. AI output may be inaccurate, non-unique, or subject to a third-party model or asset provider’s terms.

4. Plans, lifetime access, and quotas

Paid plans combine an access entitlement with plan limits. “Lifetime” means access for the lifetime of the Vidova product, not the purchaser’s lifetime, and does not promise that every present feature, third-party provider, or hosted service will remain unchanged forever. A lifetime purchase is not a promise of unlimited cloud compute or storage.

Hosted speech, captions, and chapters use rolling daily, weekly, and monthly quotas. Lifetime plans also include a capped total allowance of cloud features. That total never resets. The current Quota usage page describes those windows and the lifetime totals. Local editing, preview, and desktop export do not use quotas. Share-link views and delivery do not use quotas. Existing share links are not disabled solely because a quota window or lifetime ceiling is full.

Vidova checks remaining quota before hosted work starts. If a required window or lifetime ceiling is full, the operation fails instead of proceeding with a guessed allowance.

5. AppSumo lifetime deals

An AppSumo deal includes lifetime product access. Hosted speech, captions, and chapters use the same rolling daily, weekly, and monthly quotas as other Vidova accounts. Lifetime access also includes a capped total cloud allowance that never resets. Local editing stays unlimited.

AppSumo purchases and refunds are processed by AppSumo under the 60-day refund window shown on the applicable deal page. A refunded or reversed code downgrades a stacked AppSumo entitlement; refunding the final active code ends it. See our Refund Policy.

6. Quota exhaustion and hosted sharing

When a daily, weekly, or monthly quota is full, you cannot start new included speech, caption, or chapter jobs of that type until the window resets. When a lifetime cloud allowance for a feature is reached, you cannot start new jobs of that feature. That is not an outage. You can still open, edit, preview, and export local projects; access retained completed outputs; delete your data; and use existing share links. Public views or a viral embed never consume the link owner’s quota.

Quota windows do not prevent removal initiated by you, lawful takedowns, account termination for material breach or abuse, emergency security measures, expiration explicitly shown for a link, or discontinuation of the Vidova product. We do not guarantee uninterrupted uptime, but a full quota window alone is not a reason to turn off a live link.

7. Payment, renewals, and cancellation

Prices and taxes are shown before checkout. Recurring subscriptions renew until cancelled and remain active through the paid period after cancellation. One-time purchases do not renew. We may change future subscription prices with reasonable advance notice. Refund eligibility is described in the Refund Policy.

8. Acceptable use and protective limits

You may not create illegal or rights-infringing content; deceptive non-consensual deepfakes; malware; harassment; or content that violates applicable law. You may not automate abusive workloads, share an account or code beyond its permitted users, circumvent rate, concurrency, storage, or plan limits, or intentionally impose disproportionate load. We may reject or rate-limit new operations to protect users and providers. These controls do not consume extra quota and do not authorize us to substitute fake results when work fails.

9. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access for material breach, fraud, unlawful use, non-payment, abuse, or a security threat. Where practical and lawful, we will provide notice and an opportunity to cure. On termination, your license ends and hosted content may be deleted after applicable retention periods.

10. Service changes and availability

We may improve, replace, or discontinue features and providers. We will give reasonable notice of material changes that adversely affect paid access when practical. The Service is provided “as is” and “as available”; outages, provider failures, and data loss can occur. Keep independent copies of important projects and exports.

11. Disclaimers and liability

To the extent permitted by law, DeepShot, Inc. disclaims implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. To the extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages. Our aggregate liability arising from the Service will not exceed the amount you paid Vidova or AppSumo for Vidova in the 12 months before the event giving rise to the claim. These limits do not apply where the law prohibits them.

12. Governing law and changes

California law governs these Terms, without regard to conflict-of-law rules, and the courts located in California have jurisdiction unless consumer law requires otherwise. We may update these Terms. We will post the effective date and provide reasonable notice before a material adverse change. Changes do not retroactively alter a completed purchase’s stated access or refund window.
